Terms of Service
These Terms of Service (“Terms”) govern access to and use of the ROi WiFi Online SaaS platform (“ROi WiFi,” “Platform,” “Service,” “we,” “us,” or “our”), including tenant administration, WiFi portal management, vouchers, subscriptions, payment-related features, earnings records, payouts, Site Bridge connectivity, and related services.
By registering an account, activating a tenant, purchasing or using a service, or continuing to access ROi WiFi, you agree to these Terms.
1. The ROi WiFi Service
ROi WiFi provides tools that may include:
- hosted captive portals and External Portal functionality;
- WiFi voucher creation, validation, extension, and management;
- subscription-based WiFi access;
- tenant and customer portals;
- network/controller integration;
- device authorization and access controls;
- payment-status and transaction recording;
- tenant wallet and earnings records;
- payout and refund management;
- receipts, logs, reports, and audit records;
- Site Bridge and other network-integration components; and
- optional modules, products, and add-ons.
Features may vary depending on the tenant configuration, subscription, network controller, payment configuration, and services enabled for an account.
2. Tenant Accounts and Approval
Submitting a tenant registration or application does not guarantee activation.
ROi WiFi may verify information and may approve, reject, limit, suspend, or require additional verification of an account when reasonably necessary for security, fraud prevention, legal compliance, payment risk, service integrity, or protection of users and the Platform.
Tenants must provide accurate and current registration, contact, business, payout, and network information. Account credentials are personal to the authorized tenant or administrator and must be protected from unauthorized use.
3. Tenant Responsibility
Each tenant independently operates its own WiFi service and remains responsible for:
- its internet connection and network equipment;
- controller, router, access point, VLAN, firewall, and captive-portal configuration;
- obtaining any permits, registrations, licenses, permissions, or authorizations applicable to its activities;
- determining whether and under what conditions it may provide or resell internet or WiFi access;
- its prices, packages, service descriptions, promotions, and customer commitments;
- lawful use of customer information;
- customer support relating to the tenant’s own WiFi service;
- ensuring sufficient tenant wallet or available balance for applicable Platform charges; and
- the actions of persons who are given access to its tenant account.
ROi WiFi does not become the tenant’s internet service provider merely by providing the Platform or captive-portal software.
4. WiFi Vouchers and Subscriptions
Vouchers and subscriptions may contain limits such as duration, expiration, device count, speed, concurrent-user limits, package restrictions, or network restrictions. Access may begin, expire, suspend, or terminate automatically according to the applicable package and system records.
A voucher or subscription may be bound to a device or other network identifier when that feature is enabled. Removing or replacing an authorized device does not necessarily erase historical records associated with that device.
Tenants must not intentionally configure packages in a misleading manner or represent access characteristics that their network cannot reasonably provide.
5. Device and Network Identification
To operate captive-portal and access-control features, ROi WiFi may process technical identifiers including MAC addresses, IP addresses, access-point identifiers, controller/site identifiers, SSID information, browser/session identifiers, and similar network metadata.
Device-identification methods are technical controls and are not guaranteed to prevent every form of spoofing, cloning, circumvention, hardware replacement, or network-level manipulation.
6. Payments
Some ROi WiFi services allow customers or tenants to pay through third-party payment services. ROi WiFi may display provider-neutral descriptions such as Online Payment, Payment Gateway, Secure QR Ph, Gateway Fee, or similar terminology.
A payment is considered completed only after the Platform receives or verifies a successful payment status through the applicable payment channel or authorized reconciliation process. Creating a QR code, payment intent, reference number, checkout session, or pending transaction does not by itself constitute successful payment.
Third-party payment services remain subject to their own rules, availability, processing times, security controls, and transaction limits. Additional rules governing payments, tenant balances, refunds, earnings, and payouts are contained in the Payment & Payout Terms, which form part of these Terms.
7. Tenant Wallet and Platform Charges
The Platform may maintain an internal tenant wallet or account balance for charges related to voucher generation, subscriptions, renewals, extensions, add-ons, service fees, refunds, or other enabled Platform functions.
Applicable charges must be disclosed through the Platform before or as part of the relevant transaction. Transactions requiring Platform funds may be rejected when the available tenant wallet balance is insufficient.
ROi WiFi is designed not to intentionally permit a tenant wallet to become negative through an ordinary Platform transaction. A tenant wallet or internal Platform balance is an accounting feature of ROi WiFi and is not represented as a bank deposit, savings account, investment product, or interest-bearing financial account.
8. Refunds, Reversals, and Disputes
Refund eligibility depends on the transaction, package status, usage, and refund rules displayed by the Platform. A refund may be denied or limited when the applicable service has already been consumed, except where a refund or other remedy is required by applicable law.
When a refund is available, the customer must be shown the applicable refund amount and any disclosed refund fee before confirmation. A refund request may temporarily block use of the affected voucher, subscription, renewal, or service while the refund is pending.
ROi WiFi may maintain the original transaction and corresponding refund or reversal as separate permanent audit records rather than deleting the original transaction. Provider-side payment reversals are not automatically required unless the particular refund workflow expressly states that a provider-side reversal will be initiated.
9. Acceptable Use
Users and tenants must not use ROi WiFi to:
- violate any applicable law or regulation;
- gain unauthorized access to systems, accounts, networks, or data;
- interfere with Platform security or availability;
- bypass payment, voucher, subscription, or device restrictions;
- manipulate transaction, wallet, earnings, payout, or audit records;
- distribute malware or conduct abusive automated activity;
- impersonate another person or tenant;
- use fraudulent payment information; or
- use the Service in a manner reasonably likely to harm ROi WiFi, its tenants, customers, infrastructure, or service providers.
ROi WiFi may restrict access when reasonably necessary to investigate or prevent such activity.
10. Service Availability
ROi WiFi depends on internet connectivity, hosting infrastructure, tenant equipment, network controllers, payment services, DNS, third-party APIs, and other systems outside the exclusive control of ROi WiFi. We do not guarantee uninterrupted or error-free operation.
Maintenance, upgrades, outages, controller failures, internet interruptions, third-party service failures, force majeure events, or security incidents may temporarily affect availability. We may modify, replace, discontinue, or improve features when reasonably necessary, subject to applicable contractual or legal obligations.
11. Data and Privacy
Personal data is processed according to the ROi WiFi Privacy Notice and applicable Philippine data-protection requirements. Tenants that independently collect or control personal information through their own WiFi operations may have separate obligations as personal information controllers.
12. Records and Audit Trail
ROi WiFi may retain transaction records, authentication events, voucher history, subscription history, wallet activity, payout records, refund records, device events, administrator actions, security events, and other audit information where reasonably necessary for service operation, reconciliation, fraud prevention, dispute resolution, legal compliance, and legitimate business purposes.
Historical financial and security records may remain in the audit trail even after an operational object such as a voucher, subscription, device authorization, or account entry is removed from the active interface.
13. Suspension and Termination
ROi WiFi may suspend, restrict, or terminate access for material violations of these Terms, fraud, non-payment, insufficient required funds, security threats, unlawful activity, abusive use, or other circumstances that reasonably threaten the Platform or its users.
Where appropriate, reasonable notice or an opportunity to correct the issue may be provided. Termination does not automatically erase lawful transaction, accounting, security, or compliance records. Outstanding obligations, adjustments, refunds, disputes, and payout reviews may continue after account suspension or termination.
14. Intellectual Property
ROi WiFi software, platform design, source code, branding, documentation, graphics, and other proprietary materials are protected by applicable intellectual-property laws. No ownership rights are transferred merely through use of the Service.
Tenants retain ownership of their own lawful business names, logos, content, and materials submitted to the Platform.
15. Disclaimer and Limitation of Liability
ROi WiFi provides a technology platform and does not guarantee a tenant’s revenue, profitability, internet quality, network coverage, payment approval rate, or business results.
To the maximum extent permitted by law, ROi WiFi will not be responsible for indirect, incidental, consequential, special, or purely economic losses resulting from matters outside its reasonable control. Nothing in these Terms excludes liability or consumer rights that cannot lawfully be excluded or limited.
16. Changes to These Terms
These Terms may be updated when the Service, legal requirements, security practices, payment arrangements, or business operations materially change. The updated version and effective date will be published through the Platform.
Where a change materially affects existing rights or obligations, reasonable notice will be provided when required or appropriate.
17. Governing Law
These Terms are governed by the laws of the Republic of the Philippines. Nothing in these Terms limits any mandatory rights or remedies available under applicable Philippine consumer, privacy, electronic-commerce, payment, or other laws.
