Payment & Payout Terms

These Payment & Payout Terms form part of the ROi WiFi Online SaaS Terms of Service and govern customer payments, Platform fees, tenant wallet transactions, earnings, refunds, adjustments, and payout requests.

1. Payment Processing

ROi WiFi may allow customers or tenants to pay through an authorized third-party payment service. A transaction is considered successfully paid only after the Platform receives or verifies a successful payment status.

A generated QR code, payment reference, payment intent, pending transaction, or checkout session does not constitute completed payment. Payment processing may be affected by third-party service availability, transaction limits, fraud controls, maintenance, bank or wallet processing, and other conditions outside ROi WiFi’s direct control.

2. Displayed Transaction Amounts

Before a customer or tenant confirms a charge, the Platform should display the applicable amount and, where relevant, disclosed charges or deductions. Depending on the transaction, these may include:

  • WiFi package price;
  • voucher or subscription amount;
  • Payment Gateway fee;
  • Platform charge;
  • generation or renewal fee;
  • extension fee;
  • refund fee;
  • payout fee; or
  • other clearly identified charges applicable to the transaction.

Fees may vary according to Platform configuration, payment channel, package, service, or tenant arrangement.

3. Tenant Wallet

ROi WiFi may maintain an internal Tenant Wallet used to pay Platform-related charges. Charges may include, where enabled, voucher generation, subscription creation, subscription renewal, voucher extension, optional products or add-ons, Platform service charges, refund-related charges, and other services disclosed before confirmation.

The Tenant Wallet is an internal accounting balance and is not represented as a bank account, deposit account, investment, interest-bearing account, or substitute for a regulated financial account.

ROi WiFi may reject a transaction when the Tenant Wallet does not contain sufficient available funds. The Platform is intended to prevent ordinary transactions from causing a negative Tenant Wallet balance.

4. Customer Sales and Tenant Earnings

When a customer successfully purchases a tenant’s WiFi service, the transaction is recorded in the applicable tenant earnings or financial ledger.

The amount credited as available earnings may reflect the transaction amount less any applicable and disclosed payment-processing cost, Platform charge, refund or reversal, adjustment, promotional deduction, or other authorized fee. The Platform transaction details or financial ledger will serve as the operational record of the applicable computation.

5. Pending and Available Earnings

Amounts may be recorded as pending before becoming available for payout. ROi WiFi may temporarily delay availability where reasonably necessary for payment confirmation, settlement, reconciliation, refund exposure, fraud or security review, transaction disputes, system correction, or other legitimate payment-risk controls.

A displayed ledger balance does not guarantee that every amount is immediately eligible for payout.

6. Payout Requests

A tenant may request payout of eligible available earnings to an approved payout destination. Before submission, the Platform should disclose the requested payout amount, applicable payout or service fee if any, and expected net payout.

Once submitted, the requested amount may be placed on hold and become unavailable for other withdrawal requests until the payout is completed, rejected, cancelled where permitted, or otherwise resolved.

7. Payout Verification

ROi WiFi may require verification of payout details before releasing funds. Tenants are responsible for ensuring that payout information is correct.

ROi WiFi may delay, reject, or return a payout request when payout details cannot be verified; information appears incorrect or inconsistent; the account is under security review; fraud or unauthorized activity is suspected; funds are subject to refund, dispute, or adjustment; additional reconciliation is required; the payout service is unavailable; or processing would violate applicable law or service-provider requirements.

8. Payout Status

A payout may have statuses including pending, under review, approved, processing, completed, rejected, failed, returned, or cancelled. A payout should be treated as completed only when the applicable payout process confirms completion.

Displayed processing times are estimates unless expressly guaranteed.

9. Refund Eligibility

Refunds are subject to the refund rules displayed by the Platform and applicable law. ROi WiFi may allow a refund for an unused voucher, unused subscription, unused renewal, duplicate payment, failed service, or another eligible transaction.

A refund may be unavailable or reduced where the purchased service has already been consumed, except where applicable law requires a refund or another remedy.

10. Tenant-Managed Refunds

Where the Platform uses tenant-managed refunds, the tenant is responsible for approving and funding the customer refund from the applicable available tenant balance or earnings.

A tenant-managed refund does not automatically mean that ROi WiFi will request a reversal from the original Payment Gateway. The original payment record may remain intact for audit and reconciliation purposes, while a separate refund transaction records the amount returned to the customer.

This provides a traceable history of Original Payment → Refund Request → Refund Amount → Fees/Adjustments → Final Refund Status.

11. Refund Fees and Net Refund

If a refund fee applies, it must be disclosed before the refund is confirmed. The Platform should show the customer or tenant, as applicable, the original transaction amount, applicable refund fee, other applicable adjustment, and net refund amount.

Where a refund fee is allocated between the tenant and the Platform, the corresponding portions must be recorded in the financial ledger. The customer is entitled to the net refund amount displayed and accepted before confirmation, except where applicable law requires a different amount.

12. Refund Hold

Once an eligible refund enters a pending or processing state, ROi WiFi may place the affected voucher, subscription, renewal, or service Under Refund.

While Under Refund, use, activation, reconnection, renewal, or modification of the affected service may be blocked until the refund is cancelled or completed. This helps prevent simultaneous consumption of a service that is being refunded.

13. Cancelling a Refund

A pending refund may be cancelled when the Platform permits cancellation and the refund has not reached an irreversible completion stage. After cancellation, the affected service may become usable again if it remains otherwise valid and unused.

Completed refunds cannot be cancelled merely by changing the Platform record.

14. Advance Renewals

A separately paid advance renewal may be treated as its own charge. Where permitted by the Platform, an unused advance renewal may be eligible for refund independently of the currently active subscription.

The refund eligibility of the renewal does not necessarily cancel or modify the underlying active subscription.

15. Gateway Costs

Third-party Payment Gateway charges may be deducted or accounted for separately when computing tenant earnings, refunds, or adjustments. ROi WiFi is not required to absorb third-party processing costs unless the Platform expressly states otherwise.

Any gateway-related amount charged to the tenant or customer must be represented according to the applicable transaction rules and legal requirements.

16. Failed, Duplicate, or Inconsistent Payments

If payment records are duplicated, delayed, inconsistent, or incorrectly reported, ROi WiFi may temporarily hold the affected amount while reconciling the transaction.

ROi WiFi may correct an accounting error after reviewing gateway references, transaction history, webhook or status records, receipts, internal audit logs, and other reliable evidence. Corrections must preserve an audit trail.

17. Chargebacks, Reversals, and Disputes

Where a payment is reversed, disputed, charged back, declared fraudulent, or otherwise invalidated, the corresponding tenant earnings may be adjusted.

If the relevant amount has already been paid out, ROi WiFi may offset the valid adjustment against available or future tenant earnings where legally and contractually permitted. ROi WiFi will not intentionally use such adjustments to create an undisclosed fee.

18. Financial Audit Trail

ROi WiFi maintains financial records to support reconciliation and accountability. Records may include payment references, transaction amounts, tenant wallet entries, earnings credits, applicable fees, refund transactions, payout requests, corrections, administrator actions, and timestamps and status changes.

Financial records generally should not be permanently deleted merely to hide or alter historical activity. Where a correction is necessary, the preferred approach is a traceable reversal or adjustment entry.

19. No Interest or Investment Return

Unless ROi WiFi expressly introduces a separate legally authorized product stating otherwise, no interest, yield, investment return, or similar earnings are paid merely because money or accounting credits remain recorded in a Tenant Wallet or earnings balance.

20. Taxes and Business Obligations

Each tenant remains responsible for determining and complying with taxes, registrations, invoicing, receipts, permits, and other legal or business obligations applicable to its own WiFi operations and earnings.

ROi WiFi’s financial ledger is an operational Platform record and does not replace professional accounting or tax records required by law.

21. Fraud and Abuse

ROi WiFi may temporarily hold or restrict financial activity when there is reasonable evidence of unauthorized transactions, account compromise, payment manipulation, fabricated transactions, refund abuse, repeated suspicious activity, misuse of Platform balances, or attempts to circumvent payment or payout controls.

Restrictions should be proportionate to the identified risk and may remain while the relevant transaction is investigated or reconciled.

22. Platform and Payment Service Relationship

ROi WiFi may integrate with independent payment, banking, QR, payout, or financial-service providers. Those providers remain responsible for services performed under their own systems and terms.

Unless ROi WiFi is separately licensed or registered for a regulated financial activity, nothing in these Terms should be interpreted as representing ROi WiFi as a bank, electronic-money issuer, deposit-taking institution, or other regulated financial institution.

23. Changes to Payment and Payout Terms

These Terms may be changed to reflect new Platform functionality, changes in fees, payment-service arrangements, refund procedures, security requirements, regulatory requirements, or operational improvements.

Material changes affecting existing tenant funds, charges, or payout rights will be disclosed when required or reasonably appropriate.

24. Governing Law

These Payment & Payout Terms are governed by the laws of the Republic of the Philippines. Nothing in these Terms removes rights or remedies that cannot lawfully be waived under applicable consumer, payment, privacy, or electronic-commerce laws.

25. Payment and Financial Support

Questions or disputes regarding payments, Tenant Wallet entries, earnings, refunds, adjustments, transaction records, or payouts may be submitted through the official ROi WiFi support channels:

When contacting support regarding a financial transaction, provide the relevant payment, refund, payout, or transaction reference number when available to assist with verification and reconciliation.

For security, users should never send account passwords, one-time passwords (OTPs), PINs, payment-wallet credentials, or other authentication secrets through email, SMS, or ordinary support messages.
